Terms of Use

These Terms of Use (together with the documents referred to herein) (collectively, these “Terms”) inform you of the terms and conditions pursuant to which you may make use of our website, solutions, products and services (our “Solutions”) and the information made available from our Solutions (“Content”). Use of our Solutions and Content includes accessing, browsing, or registering to use our Solutions either through our website or any mobile application.

Please read these Terms carefully before you start to use our Solutions, as these will apply to your use of our Solutions and Content. We recommend that you print a copy of these Terms for future reference. By accessing, browsing, or using our Solutions, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Solutions or Content.

Other Applicable Terms

These Terms refer to the following additional terms, which also apply to your use of our Solutions and Content:

  • Our Privacy Policy (https://www.lloydslistintelligence.com/privacy-policy), which sets out the terms on which we process any personal data we collect from you, or that you provide to us. By using our Solutions, you consent to such processing and you warrant that all data provided by you is accurate and complete.
  • Our Cookie Policy (https://www.lloydslistintelligence.com/cookie-policy), which sets out information about the cookies on our Solutions.
  • If you are an “Authorised User” of a fee-paying customer, you are referred to as “Commercial User” in the below Terms. In addition to the below Terms, the limitations and restrictions set out in the Terms of Business with the Customer applies to your use of our Solutions and Content. You should be aware of such limitations and restrictions and use our Solutions and Content in accordance with the provisions of such Terms of Business. In the event of any conflict between these Terms and the Terms of Business with the Customer, the Terms of Business shall govern to the extent of such conflict.

Information About Us

Our Solutions are operated by us, Lloyd's List Intelligence. Lloyd's List Intelligence is a trading name of Maritime Insights & Intelligence Limited a company registered in England and Wales with company number 13831625 whose registered office is Fifth Floor, 10 St. Bride Street, London, EC4A 4AD, United Kingdom. Lloyd's is the registered trademark of the Society incorporated by the Lloyd's Act 1871 by the name of Lloyd's.

Changes to Our Solutions and these Terms

We may change our Solutions:

  • to reflect changes in relevant laws and regulatory requirements;
  • to make minor technical adjustments and improvements, for example to address a security threat. These are changes that don't affect your use of our Solutions; and
  • to update digital content, provided that the digital content always matches the description of it that we provided to you before you bought it. We might ask you to install these updates.

We may also make more substantial types of change to our Solutions, subject to the Terms of Business with our customers. Furthermore, we can discontinue or stop providing any of our Solutions or Content, such as an ongoing service or a subscription for digital content, in which case we will let you know in advance. Lastly, we reserve the right to refuse to provide our Solutions to any party at our sole discretion.

We may revise these Terms at any time. You are expected to check the terms on our Solutions from time to time to take notice of any changes we make, as they are binding on you. Some of the provisions contained in these Terms may also be superseded by provisions or notices published elsewhere on our Solutions.

Suspending or Terminating Access to Solutions 

We may suspend or terminate your access to any Solution and claim any compensation due to us (including enforcement costs) if:

  • you don't, within a reasonable time of us asking for it, provide us with information, cooperation or access that we need to provide the product, for example, names and email addresses of authorised users;
  • you breach any provision of these Terms;
  • you are using our Solutions or Content for commercial purposes without obtaining a license from us; or
  • in the case of Commercial Users, you breach our LLI Terms of Business (https://www.lloydslistintelligence.com/legal/customer-terms-and-conditions).

Limitations and Restrictions on Use

The following limitations and restrictions apply to any use of our Solutions or Content:

  1. Save for access to our website (https://www.lloydslistintelligence.com), access to other Solutions and Content is only available to registered users and may not be shared with anyone else other than in accordance with these Terms or any applicable Terms of Business. You acknowledge that any breach of this clause is a material breach of these Terms.
  2. In no circumstances will we be liable for any adverse consequences resulting from: (i) the inaccuracy or incompleteness of the Content; or (ii) any trading, investment, commercial or other decisions based on or made in reliance on the Content. If the Terms or any applicable Terms of Business permit you to share access to our Solutions or any Content with any third parties, then you will advise such third parties in writing of the content of this clause.
  3. You shall:
    1. where the Solution is access controlled, access our Solutions through an independent user ID and password;
    2. not share any credentials with anyone else;
    3. strictly adhere to any additional end user restrictions notified by us from time to time; and
    4. if you are a Commercial User, either be employed or engaged by the relevant Customer.
  4. In the case of Commercial Users, Content may be displayed, reformatted and distributed internally within your organisation only in insubstantial portions for research and related work in the ordinary course of your business. No other internal or external dissemination of any Content is permitted except as expressly indicated in these Terms or any applicable Terms of Business. You must not use any Content for commercial purposes without obtaining a licence to do so from us.
  5. You shall not:
    1. except as may be allowed by any applicable law which is incapable of exclusion by agreement between the parties and except to the extent expressly permitted under these Terms or any applicable Terms of Business:
      1. attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of our Solutions or Content (as applicable) in any form or media or by any means; or
      2. attempt to de-compile, reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of our Solutions or the Content;
    2. modify any paper or digital copies of any Content you have printed off our Solutions or downloaded from our Solutions, and you must not use any illustrations, photographs, video or audio sequences or any graphics made available from our Solutions separately from any accompanying text;
    3. access all or any part of our Solutions or use any part of the Content in order to:
      1. build a product or service which competes with us; or
      2. disclose their availability, performance or functionality, or for any other benchmarking or competitive purposes;
    4. unless expressly permitted by us in writing, use our Solutions or Content to provide services to third parties or make any other commercial or production use of our Solutions or Content;
    5. unless expressly permitted by us in writing, license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make our Solutions or Content available to any third party except the relevant authorised users set out in any relevant Terms of Business;
    6. attempt to obtain, or assist third parties in obtaining, access to our Solutions, other than as provided under this section;
    7. amend, edit or otherwise tamper with any Content to the effect that any third party may reasonably interpret that such tampered Content was originally produced by us in that tampered form;
    8. introduce or permit the introduction of any viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful into our network or our information systems;
    9. attack our network or our information systems via a denial-of-service attack or a distributed denial-of service attack;
    10. seek legal advice from us or our employees;
    11. unless expressly permitted by us in writing, use our Solutions to carry out any bulk or batch downloading or otherwise automatically scrape, harvest or extract Content;
    12. remove any copyright or other proprietary notices from our Solutions or any Content.
  6. You shall use all reasonable endeavours to prevent any unauthorised access to, or use of, our Solutions and/or Content and, in the event of any such unauthorised access or use, shall promptly notify us.
  7. Where you are permitted to reproduce our Content (or a part of it), our status as the authors of Content must always be acknowledged.
  8. You shall not in any manner (directly or indirectly), access or use any of our Solutions or Content to create competing products or to provide our Content to our competitors. You acknowledge that any breach of this clause shall be a material breach of these Terms.
  9. We reserve the right (acting reasonably) to amend or alter our Solutions in such a way that it does not adversely impact your use of our Solutions in order to: (i) maintain or enhance the quality or delivery of our Solutions to customers; (ii) maintain or enhance the cost efficiency or performance of our Solutions; and/or (iii) comply with applicable law or other requirements.

AI Use

Unless explicitly agreed in writing by us, you shall not use our Solutions or Content in whole or in part (including in anonymized form) in connection with any machine learning or artificial intelligence technology purposes, including, but not limited to (i) to train, influence or optimise, or as a source for, any artificial intelligence or machine learning tools, (ii) to develop a substitute for our Solutions, (iii) to train any large language model, or (iv) or for research purposes. If we permit you in writing to use our Solutions or Content for any machine learning or artificial intelligence technology purposes, then the intellectual property rights to any output generated from such use, including any automated device, program, tool, algorithm, process, methodology, product and/or other output (whether or not the foregoing are externally commercialized) shall belong to us in any event.

No Reliance

Although we will endeavour to keep the Content updated and accurate, we cannot and do not warrant the accuracy or completeness of the Content, and you agree that we will not be liable to you or any third party for any adverse consequences arising as a result of the inaccuracy or incompleteness of the Content. You further agree that we will not be liable to you or any third party for any trading, investment, medical, commercial or other decisions made in reliance on the Content.

Accessing Our Solutions

We will try to make our Solutions available but cannot guarantee that our Solutions will operate continuously or without interruptions or is error free or is virus free, and can accept no liability on account of unavailability, interruptions, errors or viruses. You must not attempt to interfere with the proper working of our Solutions and, in particular, you must not attempt to circumvent security, tamper with, hack into, or otherwise disrupt any computer system, server, website, router or any other internet connected device. You are responsible for making all arrangements necessary for you to have access to our Solutions.

You are also responsible for ensuring that all persons who access our Solutions through your internet connection are aware of and comply with these Terms and any other applicable terms and conditions.

Viruses

We do not guarantee that our Solutions will be secure or free from bugs or viruses. We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our Solutions or to your downloading of any Content, or on any website linked to it. You should use your own virus protection software.

Links to Third Party Websites or Resources

Our Solutions may provide links to third party websites or resources, or integrate information from other third party sources. Since we do not control such websites and resources, you acknowledge and agree that we are not responsible or liable for the content, products or performance of such third party websites and resources, and you hereby irrevocably waive any claim against us with respect to such websites and resources. We reserve the right to terminate any link at any time without notice. The inclusion of a link to another website or resource does not constitute or imply an endorsement, authorisation, sponsorship, or affiliation by us of that website or resource, or any products or services provided therein. The information practices of those websites are not covered by any policies or terms applicable to our Solutions. We recommend that you review any terms of use and privacy policy of any linked third party website.

Monitoring and Audit Rights

We may monitor your use of our Solutions to ensure compliance with these Terms.

Intellectual Property Rights

We are the owner or the licensee of all copyright, trademarks, design rights, database rights, confidential information or any other intellectual property rights (together the “Intellectual Property Rights”) in our Solutions and the Content. The Intellectual Property Rights in our Solutions and the Content is protected by copyright and other intellectual property laws and treaties around the world. All such rights are reserved.

Limitation of Our Liability

Nothing in these Terms excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law. Subject to any pre-existing terms and conditions of sale, to the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to our Solutions or any Content, whether express or implied.

We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with the use of, or inability to use, our Solutions, or use of or reliance on any Content. In particular, we will not be liable for: (i) loss of profits, sales, business, or revenue; (ii) business interruption; (iii) loss of anticipated savings; (iv) loss of business opportunity, goodwill or reputation; or (v) any indirect or consequential loss or damage.

Resolving Disputes

You have several options for resolving disputes with us. As a first port of call, our Customer Success Team (customersuccess@lloydslistintelligence.com) will do their best to resolve any problems you have with us or our Solutions. If you are not satisfied by our support, then you could consider alternative dispute resolution where an independent body considers the facts of a dispute and seeks to resolve it, without you having to go to court. If you're not satisfied with the outcome you can still go to court.

Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), will be governed by, and construed in accordance with the laws of England and Wales. Each party irrevocably agrees that the courts of England and Wales will have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).

Miscellaneous

If any provision or part-provision of these Term is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any such modification to or deletion of a provision or part-provision shall not affect the validity and enforceability of the rest of these Terms.

These Terms do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 for third parties to enforce any term of these Terms.

A waiver of any right or remedy under these Terms or by law is only effective if given in writing and shall not be deemed a waiver of any subsequent right or remedy. A failure or delay by us to exercise any right or remedy provided under these Terms or by law shall not constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict any further exercise of that or any other right or remedy. 

Neither party shall be in breach of these Terms or otherwise liable for any failure or delay in the performance of its obligations (excluding payment obligations) if such delay or failure results from events, circumstances or causes beyond its reasonable control. The time for performance of such obligations shall be extended accordingly.
