Terms and Conditions

1. Scope

These Terms and Conditions govern your use of the electronic report(s) (“Report(s)”) you purchased from Maritime Insights and Intelligence Limited (“we”).

2. Ownership

All intellectual property rights in the Report(s) belong to us, our affiliates or our licensors.  You will not acquire any ownership or intellectual property rights in the Report(s).

3. License Grant; Restrictions 

We grant you a non-exclusive, non-transferable license (“License”) to use the Report(s) solely for internal business purposes (other than any artificial intelligence or machine learning purposes, which are expressly prohibited). You will not make available, copy, reproduce, retransmit, disseminate, sell, license, distribute, publish or otherwise circulate the Report(s), or any portion thereof, without our prior written consent.  

4. Access Limitation

The Report(s) are licensed to you on a single user basis and may not be shared internally or externally.  Only the user named by you as “Authorised User” during your purchase of the Report(s) may access and use the Report(s).  Additional user licenses for the Report(s) may be purchased by you at our standard published rates then in effect for the Report(s) or by the purchase of a site wide or global license.  You warrant that you shall take appropriate controls to ensure that the license is not breached by you or other users.  You shall comply with all laws and regulations applicable to your access to and use of the Report(s).

5. Payment

Payment for purchase of the Report(s) is due in full prior to delivery of the Report(s). We do not provide refunds in any circumstances.

6. Disclaimers

The Report(s) and Content (defined below) are provided “AS IS” without warranty of any kind, whether express, implied, statutory or otherwise. We specifically disclaim all implied warranties of merchantability, noninfringement and fitness for a particular purpose. We (i) cannot and do not warrant the accuracy or completeness of the information made available from the Report(s) (the “Content”) and (ii) will not be liable for any adverse consequences resulting from the inaccuracy or incompleteness of the Content.  We will not, under any circumstance whatsoever, be liable for any trading, investment, commercial or other decisions based on or made in reliance on the Content.

7. Termination

We may, at any time, terminate the License if you breach these Terms and Conditions.  Upon such termination, you will permanently (i) delete the Report(s) from your information technology system and (ii) destroy all hard copies of the Report(s) in your possession or control.

8. Indemnification

You shall indemnify us against all claims, causes of actions, judgments, damages, fines or expenses (including reasonable legal fees) arising from a third-party claim relating to your use of the Report(s) in violation of these Terms & Conditions or applicable law.

9. Limitation of Liability

Our total liability relating to these Terms and Conditions, the License and/or the Report(s) shall not exceed the amount paid by you for purchase of the Report(s).  In no event shall we be liable for any special, indirect, incidental, consequential or punitive damages (including losses or damages for any loss of data, profit, goodwill, anticipated savings, revenue or business), whether based on contract, tort or other legal theory, relating to these Terms and Conditions, the License, the Report(s) and/or your use of or inability to use the Report(s).

10. Data Protection

11. Miscellaneous

Amendments of or waivers relating to these Terms and Conditions must be in writing signed by the parties.

You may not assign these Terms and Conditions without our prior written consent.

These Terms and Conditions and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with its or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms and Conditions.
