By registering on the Infospectrum platform and accessing the Counterparty Risk Appraisal Reports and Ratings products on the Infospectrum platform and/or receiving services from Infospectrum (together, “Infospectrum Products”), you thereby agree to these additional Supplementary Terms and Conditions for such Infospectrum Products, which shall apply in addition to the LLI Terms of Business found here: https://www.lloydslistintelligence.com/legal/customer-terms-and-conditions:

  1. The following definitions shall apply with respect to these Supplementary Terms and Conditions for Infospectrum Products. Any capitalised terms which are not defined below shall have the definitions provided for in the LLI Terms of Business (https://www.lloydslistintelligence.com/legal/customer-terms-and-conditions).

Client” means a client of the Customer and/or relevant underwriters or any other person in each case being persons that LLI has agreed with the Customer in writing may be supplied with Solutions by the Customer.

Infospectrum” means Infospectrum Ltd.

Infospectrum Platform” means the electronic systems via which Infospectrum makes Solutions available to each Customer, including but not limited to the Infospectrum.net Website and the Infospectrum Portal.

Reports” means the reports, deliverables, search results, other materials, information in any form whatsoever including electronic data and/or any other goods, whether delivered verbally or in writing or supplied or downloaded through access to the Infospectrum Platform or otherwise, which Infospectrum supplies to the Customer in accordance with the applicable terms between the parties and shall include any copies or extracts or parts thereof.

  1. Where the Customer wishes to disclose and/or supply any Content to a Client, the Customer shall first ensure in consultation with LLI that the Client has agreed to all the applicable terms and is bound by them. By being given or allowed access to any Content by LLI or the Customer, the Client agrees to be bound by all applicable terms for such Content as if the Client were named as the Customer. Any breach of these terms by a Client shall also be a breach on the part of the Customer for which the Customer shall have full responsibility to LLI.
  2. The Customer shall be responsible to LLI for ensuring the accuracy of the terms of any order (including any applicable specification) submitted by the Customer, and for giving LLI any necessary information relating to the Solutions within a sufficient time to enable LLI to perform its obligations in accordance with any applicable terms. No order which has been accepted by LLI may be cancelled by the Customer except with the agreement in writing of LLI. LLI reserves the right at any time without notice to withdraw any Content in whole or in part from its range of reports or to restrict access thereto or to alter the design specification or nature thereof and shall not be liable to the Customer for any loss or damage sustained by the Customer resulting from such withdrawal or alteration.
  3. In the event that LLI does grant consent to the Customer to permit the Customer to disclose any Content to a third party (other than a Client), the Customer agrees and accepts that such third party shall not be entitled to rely in any way on the content of any Content disclosed to it, that the identity of LLI or Infospectrum as the source of the information is not to be disclosed, and the Customer hereby indemnifies and shall keep LLI and its Affiliates fully and effectively indemnified against any and all costs, claims, damages and expenses of whatever nature suffered or incurred by LLI and its Affiliates as a result of any such reliance by such third party.
  4. Delivery of the Content shall be made in accordance with the method agreed between the parties or in default of agreement as LLI shall determine. Any dates quoted for delivery of any Content are approximate only and LLI and its Affiliates shall not be liable for any delay in delivery of the Content howsoever caused. Time of supply shall not be of the essence. Notwithstanding delivery and the passing of risk in the Reports, or any other provision of the applicable terms, and to the extent applicable, the physical property in the Reports shall not pass to the Customer until LLI has received in cleared funds payment in full of the price of the Reports and all other Content agreed to be sold by LLI to the Customer for which payment is then due.
  5. The information contained in any Report is confidential and (except as explicitly provided for under the applicable terms) the Customer undertakes that the content of any Report will not be transmitted or otherwise revealed by the Customer to any third party (other than a Client) and the Customer acknowledges that (as between the parties) the intellectual property rights in the Reports belong to LLI and its Affiliates. Where, as permitted by the applicable terms, a Report is disclosed to a third party (other than a Client), then the Customer shall ensure the third party keeps the Report confidential and does not resell or supply to third parties or otherwise misuse the Reports or information contained in them. The Customer will not knowingly ask for Reports on behalf of others except in the case of Clients. The Customer will not reveal LLI or Infospectrum as the source of the information contained in any Report to any third party (other than a Client) except where LLI expressly agrees to this in writing.
